1. Introduction
This document outlines the Terms and Conditions (“Terms”) governing all services offered by SponSure, a sponsorship facilitation and marketing consultancy connecting brands with college and university events across India.
By engaging with SponSure’s services — whether as a College/Event Organizer or as a Brand/Company Partner — you (“Client”) agree to abide by these Terms.
2. Scope of Services
SponSure provides the following services depending on the engagement type:
For Colleges/Event Organizers
- Sponsorship acquisition and outreach to potential brands.
- Designing and developing sponsorship proposals and packages.
- Sponsorship strategy consulting and negotiation support.
- Brand liaison and post-event reporting.
For Brands/Companies
- College event sponsorship placements and brand activations.
- Campaign planning, execution, and event branding coordination.
- Visibility and ROI tracking through event participation.
- Annual or project-based partnership consulting.
SponSure acts as an intermediary, not as a direct contracting or payment party between the brand and the college/event.
3. Payment & Fees
- All payments must be made as per the mutually agreed quotation, proposal, or invoice issued by SponSure.
- Colleges shall pay either a fixed service fee or a commission (10–25%) on sponsorship funds raised through SponSure’s efforts.
- Brands shall pay placement, activation, or consulting fees based on project scope.
- Payments are non-refundable once the service process has commenced, except in cases of proven non-delivery of agreed services.
- Any government taxes (GST, TDS, etc.) shall be borne by the client as applicable.
- Delay in payment beyond 7 days from the due date may attract late fees (2% per week).
4. Deliverables & Timelines
- SponSure will perform outreach, coordination, and consultation within agreed timelines.
- Deliverables may include sponsorship decks, proposal drafts, lead lists, or brand placements.
- Timelines are subject to brand response rates and third-party cooperation; SponSure does not guarantee specific deal closures.
5. Confidentiality
All shared information (event details, brand lists, proposals, contacts, etc.) will be treated as strictly confidential.
SponSure shall not disclose or misuse any confidential data for purposes outside the agreed project.
Clients are also expected to maintain confidentiality regarding SponSure’s internal databases, methods, and contacts.
6. Data Usage & Privacy
- Any personal or corporate data collected (emails, names, phone numbers) will only be used for sponsorship facilitation and communication purposes.
- SponSure complies with basic data protection standards and will not sell or share client data with unrelated third parties.
7. Role Clarification
- SponSure operates solely as a mediator/facilitator and not as an employer, agent, or financial guarantor for any party.
- All final agreements, payments, and sponsorship contracts are executed directly between the Brand and the College/Event.
- SponSure shall not be liable for any non-performance, dispute, or breach between the Brand and the College.
8. Cancellation & Termination
- Either party may terminate the engagement with 7 days’ written notice if there is a breach of terms or lack of progress.
- Any work completed before termination will be billed proportionately.
- Pre-paid fees for completed milestones are non-refundable.
9. Limitation of Liability
- SponSure shall not be responsible for indirect losses, delays, or reputational damages arising from the use of its services.
- Liability, if any, shall be limited to the total amount paid by the client to SponSure for the specific project in question.
10. Intellectual Property
- All marketing materials, proposals, and templates created by SponSure remain its intellectual property unless explicitly transferred in writing.
- Clients may not reproduce or resell these materials without permission.
11. Compliance
Clients agree to ensure that all sponsorship activities comply with institutional policies, brand guidelines, and applicable Indian laws, including advertising standards and university codes of conduct.
12. Dispute Resolution
- Any disputes shall first be attempted to be resolved amicably through negotiation.
- In case of failure, jurisdiction shall lie with the courts of New Delhi, India.
13. Amendments
SponSure reserves the right to update these Terms & Conditions from time to time. Updated versions will be communicated via email or company platforms.
